Welcome to RepShare. By using our services, you agree to these terms. Please read them carefully before using our platform.
1. Service Description
RepShare is a Software-as-a-Service (SaaS) platform that enables developers to promote and sell access to their private GitHub repositories. We provide the infrastructure for setting up subscriptions, managing access to repositories, and processing payments, but we do not create, modify, review, or validate the content of any repositories listed on our platform.
2. Platform Role and Limitations
RepShare functions solely as an intermediary platform that facilitates transactions between repository owners and subscribers. RepShare is not responsible for the content, quality, functionality, accuracy, or legality of any repositories listed on our platform.We do not endorse any specific repository or make any warranties regarding their content or performance.
3. Repository Owner Responsibilities
If you are a repository owner using RepShare to monetize your repositories, you acknowledge and agree that:
- You are solely responsible for all content within your repositories and any claims related to that content
- You have full ownership or proper licensing rights to all code and assets within your repositories
- You are responsible for providing support and addressing issues related to your repository content
- You must comply with all applicable laws and not infringe on third-party intellectual property rights
- You must accurately represent your repository's functionality and limitations
- You must handle all customer service issues directly with your subscribers
4. Subscriber Responsibilities
If you are subscribing to or purchasing repositories through RepShare, you acknowledge and agree that:
- Your subscription or purchase is directly with the repository owner, not with RepShare
- Any issues, bugs, concerns, or questions regarding repository content should be directed to the repository owner
- RepShare cannot guarantee the quality, accuracy, or ongoing maintenance of any repository
- RepShare cannot mediate disputes regarding repository content or functionality
- You are responsible for evaluating whether a repository meets your needs before subscribing
5. Dispute Resolution
For any issues related to repository content, functionality, or quality, subscribers must contact the repository owner directly. RepShare does not mediate content-related disputes between repository owners and subscribers.
RepShare will only intervene in matters related to platform functionality, payment processing issues, or violations of these terms of service.
6. Account Responsibilities
You are responsible for maintaining the security of your account and for all activities that occur under your account. You must immediately notify RepShare of any unauthorized use of your account or any other breach of security.
7. Payments and Fees
RepShare processes payments through Stripe and takes a percentage of the subscription or one-time payments you receive through our platform. Detailed pricing and fee information is available on our pricing page. Repository owners are responsible for any taxes related to their income from the platform.
8. Termination
RepShare reserves the right to terminate or suspend your account at any time for violations of these terms, illegal activity, or any other reason deemed appropriate by RepShare. You may also terminate your account at any time by contacting support.
9. Prohibited Content
Repository owners may not list repositories that contain illegal content, malware, proprietary code owned by third parties without proper licensing, or content that violates GitHub's terms of service. RepShare reserves the right to remove any repository from our platform that violates these guidelines.
10. Limitation of Liability
To the maximum extent permitted by law, RepShare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use or inability to use the service or from any repositories accessed through our platform.
